What these cover
These terms govern your use of the toryo software and this website. By installing or using toryo you accept them. If you are agreeing on behalf of a company, you confirm you may bind it.
Your license
Subject to these terms and to payment, we grant you a non-exclusive, non-transferable right to install and use toryo for the number of seats you hold. toryo is licensed, not sold. You may not redistribute it, sublicense it, rent it out, or attempt to derive its source.
A seat is a person, not a machine. One seat covers all of your own machines. Seats may not be shared between people or passed around a team.
Personal licenses
A Personal license is for an individual paying with their own money, for their own work. It carries one seat and may not be shared.
It may not be used for work belonging to an employer or client, and it may not be bought, reimbursed, or expensed by a company. If any of those apply, the correct license is Team, whatever the number of people involved.
We do not enforce this technically. Personal and Team run identical software, and we would rather rely on your word than build a monitoring mechanism into a tool that reads your codebase. It is a term of this license and we ask you to hold to it.
The trial
A trial gives you the whole product for 14 days on a single seat. Nothing is held back. When it ends toryo stops running until a license key is entered. Requesting a trial again with the same address returns the one you already have and does not restart the clock.
Your data is not touched when the trial ends or when you buy. Activating a license performs no migration and moves nothing.
Agent credentials and third-party services
toryo drives your own installation of a coding agent using your own provider credentials. We do not supply model access, mark it up, or bill for it, and we are not responsible for a provider’s service, availability, pricing, or output. Your use of Claude, or of any other provider you point toryo at, is governed by your agreement with them.
Your responsibilities
toryo writes code, runs commands, and opens pull requests on your behalf. You are responsible for reviewing what it produces before you ship it, and for the repositories, credentials, and systems you point it at. Keep your license key confidential.
Fees
Paid licenses are billed per seat as set out on the pricing page. Fees exclude taxes unless stated. Model usage is billed to you by your provider separately and is not part of what you pay us.
Availability and support
toryo is early software. We do not promise it is uninterrupted or error-free, and we offer no service level commitment except where one is written into a separate agreement.
Warranties and liability
To the fullest extent the law allows, toryo is provided “as is”, without warranties of any kind, express or implied.
To the fullest extent the law allows, we are not liable for lost profits, lost data, or any indirect or consequential loss, and our total liability arising out of these terms is limited to what you paid us in the twelve months before the claim. Nothing here excludes liability that cannot lawfully be excluded.
Ending it
You may stop using toryo at any time. We may suspend or end a license that breaches these terms. When a license ends, the right to run toryo ends with it. The knowledge your agents built stays where it always was, on your own infrastructure.
Changes
We may update these terms. Material changes will be dated at the top and, where they affect you, notified. Continuing to use toryo after that means you accept them.
Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law rules. Any dispute arising out of them will be heard in the state courts of Butler County, Pennsylvania, and the United States District Court for the Western District of Pennsylvania, and both of us agree to that venue.
